Proposed new company's name:
Once your order is received we apply to the Ministry of Commerce for name approval. If the name is identical or very close to an existing company's name it will be rejected and we will need to phone you to ask for further alternatives. If you wish to check the availability of your preferred name we urge you to make use of our FREE Company Name Check Service.

Please be aware that company names may not be offensive in nature, nor can they contain words such a “Royal” or “Bank” without seeking special permission.

Company Addresses
Registered Office – Every company must have a Registered Office in New Zealand. This must a physical address and NOT a PO Box number, or an RD number. The Registered Office may be at a private home, or a place of business. If your Registered Office is to be an Accountant's or Lawyer's office, please tell us the name of the firm as well as the address.

Address for Service – Every company must have an Address for Service in New Zealand. This must a physical address and NOT a PO Box number, or an RD number. The Address for Service may be at a private home, or a place of business. If your Address for Service is to be an Accountant's or Lawyer's office, please tell us the name of the firm as well as the address. You may use the same address as the Registered Office.

Postal Address – This may be either a physical address, PO Box, Private Bag or RD address. If using a physical address you may use the same address as the Registered Office and/or Address for Service.

Number of Shares
Every company must have a minimum of one share. The most common number of shares for small companies to be started with is 100 shares.

Directors
You need to provide the full name and residential address for each Director of the company. A PO Box number is insufficient. An address which includes an RD number should also include the name of the Road the Director lives on.

A Director may be anyone who is 18 or over, not bankrupt and not prohibited by the Registrar of Companies. New Zealand citizenship/residency is not required.

Shareholders
You need to provide the full name and residential address for each Shareholder of the company. A PO Box number is insufficient. An address which includes an RD number should also include the name of the Road the Shareholder lives on.
